These Terms of Service ("Terms") govern your use of the website kentuckyregisteredagent.co (the "Site") and the registered agent services (the "Services") provided by Kentucky Registered Agent.co ("we," "us," or "our"). By using our Site or enrolling in our Services, you agree to these Terms in full.

1. Description of Services

Kentucky Registered Agent.co provides registered agent services in Kentucky, which include:

• Maintaining a physical street address in Kentucky as your registered office
• Accepting service of process, legal documents, and state correspondence on your behalf
• Scanning received documents and delivering them electronically via our secure portal
• Sending compliance reminders for annual reports and other state deadlines
• Providing online access to your document history

Our Services are limited to registered agent functions. We do not provide legal advice, tax guidance, or business formation services.

2. Eligibility

You must be at least 18 years old and have the authority to bind the business entity you are registering. You must provide accurate, current information during enrollment.

3. Pricing and Payment

• Our registered agent service costs $99 per year
• The service term begins on your enrollment date and renews annually unless cancelled
• Payment is due at enrollment and upon each annual renewal
• We accept major credit cards and other methods as displayed during checkout
• Pricing may change with at least 30 days written notice prior to your renewal date

4. Your Obligations

As a client, you agree to:

• Provide truthful and current business information
• Notify us of changes to your entity name, address, or contact details
• Retrieve forwarded documents and act on them in a timely manner
• Maintain your entity in good standing with the Kentucky Secretary of State
• Use our address solely for registered agent purposes, not as a general mailing or business address

5. Document Handling

• We accept documents delivered to your registered address during standard business hours (Mon-Fri, 9am-5pm ET)
• Received documents are scanned and uploaded to your portal, typically the same business day
• We are not responsible for the legal content or implications of documents we receive and forward
• Physical originals are retained for a reasonable period and then securely destroyed
• We do not open or review the substance of your documents beyond what is necessary for scanning

6. No Legal Advice

Kentucky Registered Agent.co is not a law firm. Nothing in our Services constitutes legal counsel. We do not interpret documents, advise on legal strategy, or represent you in any proceeding. Consult a licensed attorney for legal matters.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• Our total liability for claims related to the Services shall not exceed the fees you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for delays caused by events beyond our reasonable control, including postal delays, natural disasters, or government actions

8. Indemnification

You agree to indemnify and hold harmless Kentucky Registered Agent.co, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, your violation of these Terms, or your failure to maintain your entity in compliance with state law.

9. Cancellation

• You may cancel at any time by emailing support@kentuckyregisteredagent.co
• Cancellation takes effect at the end of your current paid service term
• No partial refunds are issued for unused portions of a term, except at our sole discretion
• Upon cancellation, you must designate a replacement registered agent with the Kentucky Secretary of State

10. Suspension of Service

We may suspend or terminate your Services if:

• Your payment fails and remains unresolved after notification
• You provide materially false information
• You use our address for purposes other than registered agent service
• Continued service would violate applicable law

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky. Disputes arising under these Terms shall be resolved in courts located in Kentucky.

12. Modifications

We may update these Terms from time to time. Changes take effect when posted on this page with a new effective date. Your continued use of the Services after posting constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is deemed unenforceable, the remaining provisions continue in full force and effect.

14. Entire Agreement

These Terms and our Privacy Policy constitute the complete agreement between you and Kentucky Registered Agent.co regarding the Services.
