Forming a Kentucky LLC: Secretary of State Steps and Fees

Our flat fee to prepare and file your Kentucky LLC is $199, plus the state's $40 filing fee. Every Kentucky LLC also needs a registered agent, and ours runs $99/year as a separate, ongoing line item.

A Kentucky LLC comes together in a handful of moves: one formation filing, one registered agent, an internal agreement, an EIN, and a yearly maintenance rhythm. The state charges $40 for the filing itself, which is about as low as formation gets anywhere in the country. Below: each step in order, the full fee picture, and where our service plugs in.

Why Form an LLC in Kentucky

An LLC is essentially a hybrid: corporate-style liability protection, partnership-style taxes, and a much lighter compliance burden. Throughout Kentucky, you'll find LLCs across independent professionals, rental property holders, side-business operators, and small consultancies — the entity is light on paperwork and easy to maintain.

The $40 Kentucky LLC Filing Fee

Item Cost
Our LLC formation service $199 one-time
State filing fee (Kentucky Secretary of State) $40 one-time
Registered agent (required for every Kentucky LLC) $99/year
State annual report fee $15/year

Our piece is $199 for the filing. Kentucky Secretary of State takes the state fee directly. The agent runs $99 a year, separately.

Worth planning around: the annual report is $15 each year with a June 30 deadline, and Kentucky's Limited Liability Entity Tax carries a $175 minimum.

The Articles of Organization: Kentucky's Form KLC

The formation document is the Articles of Organization, and the profit-LLC version carries the letter code KLC. Kentucky codes its forms with letters instead of numbers (NLC covers the nonprofit LLC, PLC the professional LLC). Statutory backing sits in KRS 275.025, which requires the articles to identify the company by a compliant name and to designate the registered office and initial registered agent under KRS 14A.4-010.

Grab the official form KLC PDF for a mail filing, or start from the Secretary of State's online business services to file electronically. Electronic filings generally clear sooner than paper; the state does not commit to a fixed processing time either way.

The Steps to Form a Kentucky LLC

  1. Clear the name. Kentucky wants an LLC indicator in the name and enough distance from existing entities to avoid confusion. Search the state's entity database before you print business cards. Licensure-restricted words (banking, insurance, government-sounding terms) stay out unless you hold the credentials.
  2. Put a registered agent in place. The agent needs a real Kentucky street address and weekday availability, and the name and address land in the public entity database. Our $99-a-year service takes the listing so your personal address stays out of it.
  3. File form KLC with the $40 fee. The articles carry the company name, principal address, agent name and office, the member- or manager-managed call, and the organizers. File online or mail the PDF to the Secretary of State.
  4. Write the operating agreement. Kentucky never asks for it, but banks and courts will. It fixes ownership percentages, distributions, management rights, and exit mechanics. Skip it and the LLC statute's default terms decide those questions for you.
  5. Pull the EIN. Free at IRS.gov, roughly ten minutes online, issued at the end of the session. Banking, payroll, and federal filings all want it. Paying a middleman for an EIN buys nothing.
  6. Run the maintenance loop. Agent on file at all times, the $15 report filed in the January-to-June window, LLET handled, business and personal money kept apart, taxes on schedule. Miss enough of that and the state can administratively dissolve the company.

The Registered Agent Piece

Kentucky LLCs are required to have a registered agent at all times. The requirement applies from the day you file forward. The agent has to:

  • Maintain a real Kentucky street address (a PO box won't satisfy the rule alone)
  • Be at the address during normal weekday business hours to take legal correspondence and lawsuits
  • Relay incoming state correspondence and legal documents within the same business day to preserve response time

Take the listing yourself and a home or office address becomes a permanent, searchable entry in the state's database.

$99 per year covers our agent plan in Kentucky. Our address takes the public-record slot on your formation paperwork.
